My visa and I-797 is valid till Aug 2014. I am changing my location because I got a full time employmnet with another company. They are filing the H1b amendment in Sept 2013.

It takes 5 to 6 months for H1b amendment, just the same time as the H1b extension.

Is it ok to travel outside the country in this situation, i.e., while the amendment is still in progress?
Will I have any problem in re-entering US with the existing I-797 and the H1b visa?

You can get a new LCA for the petition. You not need to file amendment for that.

If there is any employment or duty changes, then you should be filing amendment. If your H1b is valid, then you should be able to travel outside US anytime. But make sure you keep all your documents for proof to ensure you are on valid H1b visa.
